What is a Partnership Agreement?

A Partnership Agreement allows you to set down bespoke rules about how your business partnership should be run. You can list the responsibilities and rights of each partner, so everybody knows what they are entitled to. This can help to reduce the risk of partnership disputes developing in the future.

With a Partnership Agreement in place, disputes are less likely to arise. However, if they do, the Agreement may be challenged by one of the partners. But by providing some confidence from the outset, having this legal document in place should still help to avoid relying on the terms of the Partnership Act 1890 to resolve the majority of disputes that may emerge.

In cases where a business is trading at a loss, partners may unwittingly be liable for that loss, putting personal assets at risk. This is because of the way the 1890 Partnership Act operates on business partnerships that do not have a written agreement in place.

What is the Partnership Act 1890?

The Partnership Act 1890 is a part of UK law that dictates business partners’ rights and duties. It defines a partnership as a relationship between multiple people who are in business together in order to create a profit.

It’s important to recognise that if you are in business with another person, you are by definition likely to be in a ‘partnership’ in the eyes of the law. Failing to draw up a Partnership Agreement does not prevent that from being the case.

That means that if a dispute occurs, and you do not have a Partnership Agreement, your case may fall under the scope of the 1890 Partnership Act. This can leave the business partners liable for the company’s profits and losses, putting personal assets at risk.
